Terms of Service

These Terms of Service (“Terms”) form an agreement between you and Akmond Business Networks Limited (CAC RC1977625) (“Akmond Business”, “Akmond”, “we”, “us” or “our”) for your use of the Akmond Business platform, websites, online-store tools, reseller features, payment-related services, notifications, domain services, delivery and logistics features, and other services we make available.

1. Acceptance and Eligibility

By registering an account, using a store, purchasing an add-on service, receiving or making a payment through the platform, using delivery or logistics features, or otherwise using Akmond Business, you agree to these Terms, the Privacy Policy, Refund & Cancellation Policy, Acceptable Use Policy and any service-specific terms presented to you.

You must be legally capable of entering into this agreement under the laws applicable to you. If you use Akmond Business for a company, organisation or business, you confirm that you have authority to act for that entity.

2. Accurate Information, KYC and Business Verification

You must provide accurate, complete and current information and must promptly update information that becomes inaccurate. We may require identity verification, business verification, beneficial-owner or director information, supporting documents, phone or email verification, and other information reasonably required for security, fraud prevention, payment-provider eligibility or compliance.

Akmond may maintain separate individual and registered-business profiles. An individual account may request an upgrade to a registered-business profile after the applicable business and KYC/KYB review. Approval is not guaranteed and additional information may be required.

Where a payout account is linked, the account holder name must correspond to an approved owner, registered company or approved director/beneficial owner, as applicable to the account type and verification record. A payout account does not become active until the required verification and approval process is completed.

3. Stores, Products and Services

Akmond provides tools that may allow you to create an online store, publish products or services, receive orders, use reseller features, manage customers and use related business tools. You remain responsible for the legality, accuracy, quality, pricing, availability, fulfilment, taxes, licences, permits, warranties, consumer obligations and customer support relating to what you sell or advertise.

You must not publish misleading product descriptions, fake reviews, false claims, deceptive pricing, fabricated testimonials or other content that could reasonably mislead customers.

4. Prohibited Goods and Services

Illegal goods and services are not allowed on Akmond Business. You must not use the platform to offer, advertise, facilitate, finance, distribute or sell goods or services that are unlawful or prohibited by applicable law or by the rules of a payment, banking or other service provider we use.

Prohibited activity includes, without limitation:

• illegal drugs, controlled substances or unlawful drug-related services;
• unlicensed, counterfeit or unlawfully supplied medicines, medical products or health-related products where a licence, prescription, registration or other authorisation is required;
• firearms, ammunition, explosives, prohibited weapons, weapon components or other unlawful weapons or weapon-related services;
• terrorism, terrorist financing, recruitment, facilitation or support of terrorist organisations or unlawful violent activity;
• money laundering, terrorist financing, sanctions evasion, concealment of criminal proceeds or transactions designed to disguise the source or destination of funds;
• fraud, identity theft, impersonation, forged documents, fake financial activity or payment manipulation;
• stolen goods, counterfeit goods, unlawfully obtained goods or services, or goods whose sale is prohibited by law;
• human trafficking, exploitation, child sexual abuse material or other unlawful exploitation;
• malware, credential theft, unauthorised access, hacking services or tools intended to facilitate unlawful access;
• unlawful gambling or regulated financial, lending, investment, payment, insurance or other regulated services where the required licence or approval is absent; and
• any other goods, services or activity that applicable law, a competent authority or a provider rule prohibits.

Lawful but regulated products or services may only be offered where the seller has all required licences, approvals and permissions and the relevant Akmond service and payment provider permit the activity.

5. Payments and Payment Providers

Akmond may provide payment functionality through integrated third-party providers. A payment is treated as successful only after the applicable provider or Akmond payment system confirms it. Provider availability, limits, verification requirements, transaction reviews and settlement rules may apply.

We may change or switch the payment provider used for a service where operational, commercial, technical, compliance or regulatory considerations require it. A change of provider does not change the merchant's underlying account records, orders or applicable Akmond fees.

6. Akmond Service Fees

Akmond may charge a service fee on each successful payment processed through the platform. Depending on the applicable configuration or service, the fee may be:

• a fixed amount per successful payment; or
• a percentage of the successful payment subject to a stated maximum cap.

The applicable fee and fee payer may be shown before a transaction or stated in the merchant's applicable pricing information. Where a merchant-borne fee applies, it may be deducted before the amount becomes available for settlement or withdrawal. Where a customer-borne fee applies, it may be added to the customer's payable amount.

Third-party provider charges may also apply. Akmond may separately charge for optional services such as custom-domain services, premium features, messaging or other add-ons. Add-on charges are separate from payment-processing fees unless expressly stated otherwise.

7. Merchant Balances, Withdrawals and Payouts

Funds shown as available for withdrawal are subject to successful payment confirmation, applicable fees, reversals, refunds, disputes, compliance reviews, minimum thresholds and provider settlement conditions.

Automated payouts may be enabled for eligible accounts, but only to an approved linked payout account that satisfies Akmond's ownership and verification requirements. A newly added or changed payout account may remain pending until admin or other required approval is completed.

We may delay, reject, reverse, suspend or review a payout where reasonably necessary to prevent fraud, resolve a payment or compliance issue, satisfy a provider requirement, investigate an unusual transaction or comply with applicable law. This does not give us a right to permanently withhold funds contrary to applicable law.

8. Delivery and Akmond Logistics

Where available, a merchant may use its own delivery agents, Akmond Logistics, or both. Delivery agents may use motorcycles, cars, bicycles, public transport or walking/trekking depending on the service and availability.

Merchants remain responsible for accurate pickup information, order preparation, packaging, handover and lawful delivery instructions. Akmond may coordinate a delivery, assign a delivery agent, provide tracking, record delivery events and process applicable delivery charges and logistics fees.

Delivery fees and logistics service charges are separate from payment-processing fees unless explicitly combined in a displayed transaction price.

9. Custom Domains and Other Add-On Services

Some features require separate payment, including custom-domain services and other optional functionality introduced by Akmond. Prices, eligibility, billing periods and service conditions will be presented before purchase.

Domain registration, renewal, transfer and availability are subject to the policies of the relevant registrar. A payment for a domain service does not guarantee a particular domain name until registration is successfully completed.

10. Reseller Features

Where reseller features are available, you may market and resell eligible products or services made available within the Akmond ecosystem. You must accurately represent the product, seller or provider, price, availability and applicable conditions. Supplier and provider terms may also apply.

11. Intellectual Property and User Content

Akmond and its licensors retain rights in the platform software, interfaces, branding, designs, documentation and other platform materials. You retain responsibility for content you upload and must have the rights and permissions required to publish or sell it.

By uploading content for publication through the platform, you grant Akmond the limited rights reasonably necessary to host, process, display, reproduce and transmit that content for operating and improving the service, subject to the Privacy Policy and applicable law.

12. Account Security

You are responsible for protecting your password, authentication factors, recovery methods and devices. You must promptly report suspected unauthorised access or account compromise. You must not share administrator credentials or use another person's account without authorisation.

13. Compliance, Monitoring and Enforcement

Akmond may use automated systems, manual reviews and information from payment, identity, security and other service providers to detect fraud, abuse, prohibited activity, suspicious transactions and security threats.

Where reasonably necessary, we may remove content, restrict features, place transactions or payouts under review, suspend accounts, require additional verification or terminate access. We may also preserve or disclose information where required or permitted by law, a valid legal process, a competent authority, or a payment or service provider acting within its lawful requirements.

14. Refunds, Cancellations and Disputes

Refunds and cancellations are governed by the Refund & Cancellation Policy, the merchant's published terms, the nature of the transaction, payment status, provider rules and applicable law. Merchants remain responsible for their products, services and fulfilment commitments.

15. Third-Party Services

Some Akmond features depend on third parties, including payment processors, banking and financial technology providers, domain registrars, hosting providers, email and messaging providers, analytics providers and delivery or mapping services. Their availability and terms may affect the related Akmond feature.

16. Availability and Changes

We aim to provide a reliable service but do not guarantee uninterrupted availability. Maintenance, security events, provider outages, network failures and circumstances outside our reasonable control may interrupt some or all features.

We may add, change, suspend or discontinue features and may update these Terms. The effective date will be shown on the updated version. Where required by law, we will provide any additional notice required.

17. Disclaimer and Limitation of Liability

To the extent permitted by applicable law, Akmond does not guarantee the legality, quality, accuracy, availability or performance of goods or services supplied by merchants or third parties. We are not responsible for losses caused solely by events outside our reasonable control, third-party failures, inaccurate information supplied by a user, or a seller's products, services, delivery, representations or customer disputes.

Nothing in these Terms excludes or limits liability, rights or remedies that cannot lawfully be excluded or limited.

18. Indemnity

To the extent permitted by applicable law, you agree to defend and hold Akmond and its officers, employees and service providers harmless from claims, losses, liabilities, costs and expenses arising from your unlawful use of the platform, your breach of these Terms, infringement of third-party rights, or the products, services or content you offer through your store.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws applicable in the Federal Republic of Nigeria, subject to any mandatory rights or legal requirements that apply to you. The parties should first attempt to resolve disputes through good-faith communication and the Akmond support process. This does not prevent a person from exercising a mandatory statutory right or remedy.

20. Nigeria Launch and Future International Markets

Akmond's current payment and compliance configuration is designed for its Nigeria launch. Where Akmond later operates in other countries, additional country-specific terms, KYC/KYB requirements, payment-provider rules, currencies, taxes, settlement rules and legal requirements may apply. Access to a service in a particular country may be limited to eligible users and providers.
